These Terms of Service ("Terms") govern your use of Perxli — the website, platform and related services (together, the "Service") operated by Perxli ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you are using Perxli on behalf of a business, you confirm you have authority to bind that business to these Terms.
Perxli helps Kenyan creatives — designers, photographers, videographers, illustrators, copywriters and similar professionals — formalise client projects: generating proposals, contracts, invoices and related documents; sending them to clients for review and digital signature; tracking deposits and payments made via M-Pesa; and keeping a record of the project.
Some features described on our website or within the Service may be released in phases and may not yet be available to all users, including certain paid-plan billing functionality.

Prices are in Kenyan Shillings (KES) and may change with notice. Selecting a paid plan indicates your chosen tier; where billing is not yet active for a plan, you will be notified before any charge applies once billing is enabled.
You retain ownership of the project content you submit — including client details, project descriptions, pricing, and any files you upload. You grant Perxli a limited licence to use that content solely to provide the Service (for example, generating and delivering documents).
Perxli generates proposals, contracts, invoices and other documents based on the details you provide. These documents are provided as a convenience and are not a substitute for independent legal advice. For high-value, unusual or high-risk agreements, we recommend you have the document reviewed by a qualified lawyer before relying on it.
Perxli allows clients to sign documents electronically by typing their name ("type-to-sign"). Kenyan law recognises electronic records and electronic signatures where certain conditions are met under the Kenya Information and Communications Act and related regulations. Both parties are responsible for ensuring a signature method is appropriate for their particular agreement; for specialised or high-value agreements, an advanced or notarised signature may be more appropriate.
Perxli is not a payment processor and does not hold, transmit or guarantee any payment between you and your clients. Deposits and invoice payments are made directly by your client to you via M-Pesa or another method you agree with them. You (or your client) enter the resulting M-Pesa transaction code into Perxli so it can be matched to the relevant invoice or deposit and recorded on the project.
Perxli is not responsible for disputes arising from non-payment, late payment, incorrect payment amounts, or any disagreement between you and your client about a project or payment. Any such dispute is between you and your client.

The Perxli name, logo, platform, software and design are owned by Perxli and protected by intellectual property laws. Nothing in these Terms grants you rights to our brand or software beyond what is necessary to use the Service as intended.
You may stop using Perxli and close your account at any time. We may suspend or terminate your access if you breach these Terms, or where necessary to protect the Service, other users, or comply with the law. On closure, you may export your documents before deletion, as described in our Privacy Policy.
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that generated documents will be suitable for every situation.
To the maximum extent permitted by law, Perxli and its officers, employees and agents will not be liable for any indirect, incidental, special or consequential damages, or for any loss of profits, revenue, data or business opportunity, arising from your use of the Service — including, without limitation, any dispute over payments made directly between you and your client. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose.
You agree to indemnify and hold Perxli harmless from claims, damages and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms or applicable law.
These Terms are governed by the laws of Kenya. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Kenya.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before they take effect. Continued use of Perxli after changes take effect constitutes acceptance of the updated Terms.
